Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BayWise platform, including the website at baywise.ai, the application at app.baywise.ai, and all related services (collectively, the "Service") provided by BayWise LLC ("BayWise", "we", "us", "our").
By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
1. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity under your account, including actions by team members you invite
- You must be at least 18 years old to create an account
- One person or organisation may not maintain more than one free account
2. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service for any purpose other than managing automotive workshop operations and related business activities
- Attempt to gain unauthorised access to other users' accounts or data
- Reverse-engineer, decompile, or disassemble the Service
- Upload viruses, malware, or other harmful code
- Use automated tools to scrape, crawl, or extract data from the Service
- Resell, sublicense, or redistribute the Service without our written consent
- Interfere with the Service's infrastructure or impose an unreasonable load on our systems
3. Your Data
- Ownership: You retain all rights to the data you enter into BayWise. We do not claim ownership of your workshop data, job records, technician information, or any other content you create
- License to us: You grant us a limited license to host, process, and display your data solely to provide the Service to you. This license ends when you delete your data or close your account
- Data portability: You may export your data at any time through the application's export features or by contacting support
- Data isolation: Your data is logically separated from other organisations using row-level security policies. No other customer can access your data
4. Service Levels and Availability
- We target 99.9% uptime for the Service, excluding scheduled maintenance windows
- Scheduled maintenance will be announced at least 24 hours in advance when possible
- We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events
- The free plan is provided on a "best effort" basis. Paid plans include priority infrastructure and support
5. Subscriptions and Payment
- Free plan: Available indefinitely with usage limits (3 bays, 8 technicians, 1 location)
- Paid plans: Billed monthly or annually based on the plan selected. Prices are exclusive of applicable taxes
- Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of the billing period
- Downgrades: Take effect at the end of the current billing period. You may lose access to features or data that exceed the lower plan's limits
- Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. We do not offer partial refunds for unused time
- Price changes: We may change pricing with 30 days' notice. Existing subscribers will be notified by email before any price increase takes effect
6. Intellectual Property
- The Service, including its design, code, features, documentation, and branding, is owned by BayWise LLC and protected by intellectual property laws
- "BayWise", "BayWise Scheduler", and associated logos are trademarks of BayWise LLC
- These Terms do not grant you any rights to our trademarks, trade names, or branding
7. AI Features
- BayWise offers AI-powered scheduling suggestions and analysis features
- AI suggestions are recommendations, not decisions. You are responsible for reviewing and approving all AI-generated suggestions before they are applied
- AI features are provided "as is" and may occasionally produce inaccurate or suboptimal results
- Your data processed by AI features is subject to the same security and privacy protections described in our Privacy Policy
8. Limitation of Liability
To the maximum extent permitted by law:
- BayWise is provided "as is" and "as available" without warranties of any kind, express or implied
- We do not warrant that the Service will be uninterrupted, error-free, or secure
- Our total liability for any claims arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
9. Indemnification
You agree to indemnify and hold harmless BayWise LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
- By you: You may close your account at any time through the application settings or by contacting support
- By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay amounts owed. We will provide reasonable notice when possible
- Effect of termination: Upon termination, your right to use the Service ceases. Your data will be retained for 90 days, after which it will be permanently deleted
11. Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, United States
- Any disputes arising from these Terms will first be addressed through good-faith negotiation
- If negotiation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice in the application or sending an email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
